These Terms of Service apply to products and services supplied by:

LED Global MM GmbH is referred to in these Terms as “LED Global”, “the Company”, “we”, “us” or “our”. The person, firm or company purchasing or proposing to purchase goods from LED Global is referred to as “the Customer”.

2. Business customers

The LED Global store is intended primarily for entrepreneurs, companies, resellers, distributors, public-law entities and other customers purchasing in the course of business.

By registering for a business account or placing an order, the Customer confirms that the information supplied is accurate and that the purchase is being made for business purposes.

LED Global may request evidence of the Customer’s business status, company registration or VAT number and may approve or reject an account application at its discretion.

3. Application of these Terms

These Terms apply to all quotations, orders, contracts and deliveries between LED Global and the Customer unless otherwise agreed in writing by an authorised representative of LED Global.

Any conflicting or additional conditions supplied by the Customer will not apply unless LED Global expressly accepts them in writing.

A separately agreed written quotation, supply agreement or contract will take priority over these Terms where there is a conflict.

Nothing in these Terms affects any statutory rights that cannot legally be excluded or restricted.

4. Product information

We make reasonable efforts to ensure that product descriptions, specifications, photographs, dimensions, compatibility information and prices are accurate.

Product photographs are provided for illustration. Minor differences in colour, appearance, packaging, branding, dimensions or construction may occur where they do not materially affect the agreed use of the product.

Only certifications, approvals, E-marks, compliance statements or road-use permissions expressly stated for the specific product and relevant market may be relied upon.

The Customer is responsible for:

  • Selecting a product suitable for its intended application
  • Checking compatibility before ordering or installation
  • Ensuring professional installation
  • Using the correct voltage, wiring, connectors and protection
  • Following supplied installation and safety instructions
  • Complying with applicable vehicle, road-use, workplace and safety regulations

5. Quotations and prices

Unless expressly stated otherwise, quotations are provisional and remain subject to stock availability, market conditions, material costs, currency movements and other relevant cost changes until an order is accepted.

We make reasonable efforts to maintain quoted and published prices. If a price must change after an order is submitted but before dispatch, we will notify the Customer and request approval before proceeding.

Prices shown on the website or in a catalogue may be changed at any time. A price change will not affect an order that LED Global has already accepted unless the Customer agrees otherwise.

Unless otherwise stated, business prices exclude VAT, delivery charges, customs duties, import taxes and other applicable fees.

6. Orders and contract formation

Website listings and quotations are invitations to place an order and do not constitute a binding offer by LED Global.

An order placed by the Customer is an offer to purchase the selected goods. A binding contract is formed only when LED Global:

  • Expressly accepts the order;
  • Issues an order confirmation that confirms acceptance;
  • Dispatches the goods; or
  • Otherwise begins performing the order.

An automated order-receipt email only confirms that the order was received and does not constitute acceptance.

All orders placed through an employee, agent or representative of LED Global remain subject to approval and acceptance by the Company.

We may refuse or cancel an order before acceptance where there is a stock, pricing, payment, compliance, account or product-information issue.

7. Payment

Payment must be made using the method and within the period stated at checkout, on the invoice, in the quotation or under the Customer’s agreed credit terms.

Time for payment is an essential condition of the contract.

LED Global may require advance payment and may suspend or cancel an order where payment is not received when due.

If the Customer fails to pay an amount when due, LED Global may:

  • Suspend further deliveries;
  • Cancel any unfulfilled part of the order;
  • Withdraw previously agreed credit facilities;
  • Require immediate payment of outstanding amounts; and
  • Recover applicable interest, collection expenses and legal costs as permitted by law.

A product claim or return request does not permit the Customer to withhold payment or offset an amount against an outstanding invoice unless LED Global agrees otherwise in writing.

8. Delivery

Goods will be delivered or dispatched to the address and using the delivery method stated in the order, quotation or subsequent written agreement.

LED Global will make reasonable efforts to meet estimated dispatch and delivery dates. Unless expressly agreed in writing as binding, all delivery dates are estimates.

LED Global will not be liable for a delay caused by circumstances outside its reasonable control, including:

  • Carrier or transport disruption
  • Government action
  • War, civil disturbance or industrial action
  • Natural disasters or severe weather
  • Shortages of materials or components
  • Supplier delays
  • Customs procedures
  • Power, communication or system failures

Where appropriate, the delivery period will be extended for a reasonable period.

LED Global may make partial deliveries where reasonable. Each partial delivery may be invoiced separately. A delay affecting one delivery does not automatically cancel the remaining deliveries.

If a delivery delay exceeds three months, either party may cancel the undelivered portion of the order by written notice, unless otherwise agreed.

9. Failure to accept delivery

The Customer must provide an accurate delivery address, suitable contact details and an authorised person to receive the shipment.

If the Customer cannot or does not accept delivery when the goods are ready, LED Global may arrange storage where facilities permit.

The Customer may be responsible for reasonable costs resulting from:

  • Storage
  • Insurance
  • Additional handling
  • Repeated delivery attempts
  • Address corrections
  • Return-to-sender charges
  • Redelivery

10. Risk and ownership

Unless otherwise agreed, risk in the goods passes to the Customer when the goods are delivered to the Customer or, for business shipments, handed to the carrier responsible for transportation.

Ownership of the goods remains with LED Global until all amounts due in relation to the goods have been paid in full.

Until ownership passes, the Customer must:

  • Keep the goods identifiable as LED Global property;
  • Store and protect them appropriately;
  • Keep them adequately insured; and
  • Not pledge or use them as security.

If the Customer defaults on payment, LED Global may exercise any available legal right to recover goods that remain its property.

11. Inspection and delivery claims

The Customer must inspect the goods promptly after delivery.

Any visible damage, shortage, incorrect product or other apparent delivery issue must be reported to LED Global within three days of receipt.

The Customer should provide:

  • The order or invoice number
  • Product codes and affected quantities
  • A description of the issue
  • Photographs of the outer packaging, shipping label, internal packaging and goods

The Customer must keep the goods and packaging available for reasonable examination and must not dispose of, install, alter, cut, repair or otherwise modify the affected goods before LED Global has had an opportunity to inspect them.

Concealed defects must be reported promptly after discovery. Where the Customer is a merchant, the inspection and notification duties under Section 377 of the German Commercial Code apply.

12. Returns and refunds

All returns require prior written approval and a Return Authorisation reference or form.

Customer-specific, specially ordered, customised or modified products cannot be returned unless they are defective, incorrectly supplied or otherwise required to be accepted by law.

Returned goods must be shipped prepaid unless LED Global agrees otherwise, securely packaged and accompanied by all original packaging, accessories, instructions and Return Authorisation documentation.

Approved returns of correctly supplied, non-defective goods are subject to a 50% restocking charge.

13. Defects and warranty claims

The Customer must provide reasonable information and evidence concerning a suspected defect, including the order number, product code, installation details, power supply, wiring information and photographs or video where appropriate.

LED Global may inspect or test a product before approving a warranty claim.

Where a covered defect is confirmed, LED Global may provide an appropriate remedy, including:

  • Repairing the defective product or component;
  • Replacing the defective component;
  • Replacing the complete product; or
  • Providing a refund or account credit where appropriate.

Any separate manufacturer warranty applies according to the manufacturer’s stated conditions.

Warranty coverage does not apply to damage caused by:

  • Incorrect or unprofessional installation
  • Incorrect voltage or power supply
  • Unauthorised modification or repair
  • Misuse or accidental damage
  • Normal wear and tear
  • Use outside the product’s specifications
  • Failure to follow installation or operating instructions

Nothing in this section excludes statutory rights that cannot legally be excluded.

14. Liability

Nothing in these Terms excludes or restricts liability for:

  • Death or personal injury caused by negligence;
  • Fraud or fraudulent misrepresentation;
  • Wilful misconduct or gross negligence;
  • Mandatory product-liability obligations; or
  • Any liability that cannot legally be excluded.

Where LED Global is liable for a slightly negligent breach of an essential contractual obligation, liability is limited to losses that were reasonably foreseeable and typical when the contract was formed.

To the extent permitted by law, LED Global will not be liable for indirect or consequential loss, loss of profit, loss of production, loss of revenue, loss of business opportunity or liability to a third party.

15. Customer default or insolvency

LED Global may suspend deliveries or terminate an unfulfilled contract if the Customer:

  • Fails to make payment when due;
  • Commits a material breach of the contract;
  • Becomes insolvent or unable to pay its debts;
  • Enters liquidation, administration or a creditor arrangement; or
  • Has a receiver or similar officer appointed over its assets.

Termination does not affect any rights, claims or amounts that arose before termination.

16. Intellectual property

All website content, product photographs, descriptions, drawings, catalogues, trademarks, logos and other materials remain the property of LED Global or the relevant rights holder.

No intellectual-property rights are transferred to the Customer except where expressly agreed in writing.

17. Privacy

Personal information is processed in accordance with the LED Global Privacy Policy.

18. Governing law and jurisdiction

These Terms and all contracts between LED Global MM GmbH and the Customer are governed by the laws of Germany.

The United Nations Convention on Contracts for the International Sale of Goods is excluded.

Where the Customer is a merchant, legal entity under public law or public-law special fund, the courts responsible for the registered office of LED Global MM GmbH will have jurisdiction. LED Global may also bring proceedings at the Customer’s registered office.

19. Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will continue in full force. The applicable statutory provision will replace the invalid or unenforceable provision.
